1. Agreement to Terms

Welcome to AstroSend. These Terms of Service ("Terms") govern your access to and use of the AstroSend website, applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

AstroSend is an AI-powered newsletter platform that helps businesses create and send engaging newsletters. Our Service includes:

• AI-generated newsletter drafts based on your business information and industry news
• Subscriber management and growth tools
• Customizable landing pages and embed forms
• Newsletter creation, editing, and sending capabilities
• Analytics and reporting features

5. User Content

You retain ownership of any content you create, upload, or transmit through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your User Content solely for the purpose of providing and improving the Service.

You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not infringe any third-party rights
• Your User Content complies with these Terms and all applicable laws

6. Prohibited Conduct

You agree not to use the Service to:

• Send spam, unsolicited emails, or messages to recipients who have not opted in
• Purchase, rent, or use third-party email lists without proper consent
• Send content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable

7. Email Compliance

You agree to comply with all applicable email laws and regulations, including but not limited to:

• CASL (Canada)
• Any other applicable anti-spam or data protection laws

You must only send emails to recipients who have provided valid consent to receive communications from you. All emails must include a clear and functioning unsubscribe mechanism.

8. Payment Terms

If you subscribe to a paid plan, you agree to pay all applicable fees. Payment terms include:

• Fees are billed in advance on a monthly or annual basis
• All fees are non-refundable unless otherwise stated
• We may change our fees with 30 days' prior notice
• You are responsible for all taxes applicable to your subscription
• Failure to pay may result in suspension or termination of your account

Subscriptions automatically renew unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.

9. Intellectual Property

The Service and its original content, features, and functionality are owned by AstroSend and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent. You may not reverse engineer or attempt to extract the source code of our software.

10. Third-Party Services

The Service may contain links to or integrate with third-party websites, services, or content that are not owned or controlled by AstroSend. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party services.

Your use of third-party services is at your own risk and subject to those services' terms and policies.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components. AI-generated content may contain errors and should be reviewed before use.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASTROSEND SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

In no event shall our total liability exceed the amount you paid us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless AstroSend and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or relating to your use of the Service, your User Content, your violation of these Terms, or your violation of any rights of another party.

14. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. We may delete your account and User Content after termination. All provisions of these Terms which should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts located in the United States.
